Readly International AB (publ) announces proposed changes to the Board of Directors
Tidnings AB Marieberg proposes that the extraordinary general meeting resolves that the Board of Directors shall consist of seven (7) board members.
Tidnings AB Marieberg proposes that the extraordinary general meeting elect Mikael Antonsson, Carolina Brandtman, Laurent Kayser, Jan Lund, Veronica Selin and Jesper Wikberg as new members of the Board of Directors, together with existing member of the Board of Directors Malin Stråhle, and that Jan Lund is elected Chairman of the Board. It is proposed that the other current members of the Board of Directors Patrick Svensk, Nicolas Adlercreutz, Stefan Betzold and Nathan Medlock, are dismissed.
Tidnings AB Marieberg proposes that no remuneration, including for committee work, shall be paid to the new members of the Board of Directors Jan Lund, Mikael Antonsson, Laurent Kayser, Veronica Selin and Jesper Wikberg, for the period until the end of the next Annual General Meeting, and that remuneration shall be allocated pursuant to the same principles as resolved by the Annual General Meeting 2022 to the other board members who are independent in relation to Tidnings AB Marieberg and Bonnier News Group AB. All remuneration shall be proportionate in relation to the actual term of office in the Board of Directors and in the committees during the period from the Annual General Meeting 2022 until the end of the Annual General Meeting 2023.

Jan has previously held the position as Head of Strategy at MTG (currently Viaplay) and has previous experience from board assignments within Clio, Bisnode, Bonnier Broadcasting (current TV4 Media), SF Studios, Quadracom and MMS Mediemätning i Skandinavien.

Mikael has previous experience as COO at Qliro and Engagement Manager at McKinsey, and has previously been a board member of Hakon Media AB, Dooris AB and Dagens Samhälle AB.

[1] Laurent Kayser is the deputy CEO of Cafeyn Group which, in accordance with what has been communicated in connection with Tidnings AB Marieberg's public tender offer, has entered into an agreement with Tidnings AB Marieberg with the intention that Cafeyn Group will become the owner of the non-Nordic businesses of Readly International AB (publ).
The Extra General Meeting will be held on April 26 2023, to approve the proposed changes to the Board of Directors.
